Terms of Service

These Terms govern your use of Psalm, a cloud-based CRM and ERP service based in London. Please read them carefully. By creating an account or using the Service, you agree to these Terms.

1. Who we are

Psalm (the "Service") is operated by Psalm, a company based in London ("we", "us" or "our"). "You" means the organisation and the individuals using the Service on its behalf.

2. The Service

The Service is software that helps your business manage leads, contacts, quotations, sales orders, invoices, purchases, inventory, projects and related records. We provide it on a subscription or invitation basis and may add, change or remove features over time.

3. Accounts and your team

  • You must provide accurate information when creating your company workspace, and keep it current.
  • The person who creates a workspace becomes its administrator and is responsible for the users they add and the permissions they grant.
  • You are responsible for keeping login credentials secure and for all activity that happens under your accounts. Tell us promptly if you suspect unauthorised access.
  • Each workspace's data is isolated from every other customer's data.

4. Fees, taxes and payment

  • Paid plans are billed in advance for the subscription period. Applicable taxes (including GST) are charged in addition to the listed fees.
  • Fees are payable by the due date on your invoice. We may suspend or limit access to a workspace whose fees are overdue, after reasonable notice.
  • Cancellations and refunds are governed by our Refund & Cancellation Policy.

5. Your data

The business records and content you enter into the Service ("Customer Data") belong to you. You grant us a limited licence to host, process, back up and transmit Customer Data only as needed to provide and support the Service. You are responsible for the accuracy and lawfulness of the Customer Data you upload, and for having the right to use it. Our handling of personal data is described in our Privacy Policy.

6. Acceptable use

You agree not to:

  • use the Service for any unlawful, fraudulent or infringing purpose;
  • copy, resell, sublicense or provide the Service to third parties except your own authorised users;
  • reverse engineer, decompile or attempt to extract the source code of the Service;
  • probe, scan, overload or disrupt the Service or its infrastructure, or bypass its security or access controls;
  • upload malware, or data you are not authorised to process.

7. Intellectual property

The Service, including its software, design, and trademarks, is and remains the property of Psalm and its licensors. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription; they do not transfer any ownership in the Service to you.

8. Confidentiality

Each party may receive confidential information from the other. Both parties agree to protect such information and use it only to perform under these Terms. Your Customer Data is treated as your confidential information.

9. Availability and support

We work to keep the Service available and reliable, and take regular backups, but we do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and may need to suspend the Service temporarily. Support is provided through the contact channels listed in the app and below.

10. Term, suspension and termination

  • These Terms apply for as long as you use the Service.
  • You may stop using the Service and close your workspace at any time.
  • We may suspend or terminate access if you materially breach these Terms, fail to pay fees, or use the Service in a way that risks harm to others or to the Service.
  • After termination we will, for a limited period, make a reasonable effort to let you export your Customer Data, after which it may be deleted in line with our retention practices.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis. To the extent permitted by law, we disclaim all implied warranties. The Service is a business tool and does not constitute legal, tax, accounting or financial advice; you remain responsible for your own statutory compliance, including the correctness of documents and tax filings generated with it.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental or consequential losses, or loss of profits, revenue or data. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid for the Service in the twelve (12) months before the event giving rise to the claim.

13. Indemnity

You agree to indemnify Psalm against claims arising from your Customer Data or your use of the Service in breach of these Terms or applicable law.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes we will take reasonable steps to notify you. Continuing to use the Service after changes take effect means you accept the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of England and Wales. The courts of London have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
